1. Services Provided

Cellco LLC ("Cellco," "we," "our," or "us") provides enterprise-grade communication services and global telecommunications solutions, including but not limited to:

• Application-to-Person (A2P) SMS
• One-Time Password (OTP) Messaging
• Transactional and Operational SMS
• Marketing and Promotional SMS
• International SMS Routing and Wholesale Carrier Services

2. Customer Obligations and Account Responsibilities

As a condition of using our services, customers ("you") agree to:

• Provide accurate, complete, and updated corporate and technical information.
• Maintain absolute confidentiality of your account credentials and accept responsibility for all activity occurring under your account.
• Strictly comply with all applicable local and international telecommunications laws, anti-spam regulations, and consumer privacy laws.
• Ensure that explicit, verifiable recipient consent (opt-in) has been obtained before transmitting any traffic, where required by applicable laws or mobile operator policies.
• Settle all commercial invoices punctually in accordance with agreed-upon payment terms.

3. Prohibited Use Policy

You are strictly prohibited from utilizing Cellco’s network or services to transmit, route, or facilitate content related to:

• Spam, unsolicited messaging, or unauthorized advertising.
• Phishing, social engineering, identity theft, or fraudulent schemes.
• Malware distribution, ransomware, or malicious software links.
• Illegal gambling, unauthorized financial/crypto promotions, or fraudulent investments.
• Terrorist activities, criminal organizations, or hate speech.
• Adult or explicit content restricted by applicable local, destination, or carrier regulations.
• Any traffic designed to evade mobile operator filtering or manipulate network routing protocols.

Enforcement: Cellco reserves the right to immediately suspend, block, or permanently terminate services without prior notice if a violation of this Prohibited Use Policy is detected or reported.

4. Service Availability and Network Limitations

While we strive for optimal uptime and high availability across our global routing infrastructure, uninterrupted service cannot be guaranteed. Telecommunications services are inherently subject to mobile operator policies, country-specific regulations, network maintenance window updates, government directives, and force majeure events beyond our reasonable control.

Cellco reserves the right to modify services, pricing matrices, routing pathways, and technical specifications at any time to preserve network integrity.

5. Payments, Billing, and Credit Terms

Customers agree to pay all invoices according to the finalized commercial agreements and credit terms. Failure to remit payments on time may result in:

• Immediate temporary service suspension.
• Permanent reduction of credit lines or traffic volume limits.
• Account termination and collection actions.

6. Intellectual Property

All website architecture, software platforms, proprietary routing algorithms, branding, logos, and trademarks remain the exclusive property of Cellco LLC or its licensors. No rights are granted to customers other than the limited right to utilize the messaging services as contractually agreed.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Cellco shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost business opportunities, or loss of data.

Specifically, Cellco holds no liability for delivery failures, transmission delays, carrier-level filtering, operator blocking, or third-party network outages that impact message delivery.

8. Indemnification

You agree to defend, indemnify, and hold harmless Cellco LLC, its affiliates, directors, and employees against any and all third-party claims, liabilities, losses, damages, or costs (including legal fees) arising from your misuse of our services, transmission of prohibited content, or violation of these Terms.

9. Termination

Either party may terminate the business relationship subject to the specific notice periods outlined in their underlying commercial contracts. Cellco reserves the right to terminate or suspend any account immediately and without liability in cases of suspected fraud, regulatory non-compliance, or systemic abuse.

10. Governing Law and Jurisdiction

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the jurisdiction where Cellco LLC is legally registered, without regard to conflict of law principles.
